STANDARD TERMS AND CONDITIONS OF SALE
1. General Provisions
1.1 These Terms and Conditions ("T&C") govern all sales and services provided by Afitty Solutions Pte Ltd ("Afitty") to its clients.
1.2 By engaging Afitty for services, the client agrees to these T&C and expressly waives any conflicting standard terms and conditions unless agreed upon in writing.
1.3 Any modifications or deviations from these T&C must be explicitly approved in writing by Afitty prior to engagement.
2. Payment Terms
2.1 Invoices issued by Afitty are payable within 21 working days from the invoice date unless otherwise stated on the invoice or order confirmation.
2.2 In case of late payment, Afitty reserves the right to charge a fixed interest rate of 10% on the outstanding amount. Afitty may also suspend services without prior notice until full payment is received.
2.3 If an invoice remains unpaid for more than 60 days after the due date, Afitty reserves the right to engage a debt recovery agency. All costs, including legal fees and collection expenses, will be borne by the client.
3. Tax & Withholding Obligations
3.1 Clients are responsible for complying with their local tax regulations, including withholding taxes where applicable.
3.2 Any withholding taxes deducted by the client must be remitted to the relevant tax authorities. Afitty will not be responsible for any additional costs incurred due to a client’s tax obligations.
3.3 The full invoiced amount remains payable to Afitty, and no deductions related to local tax laws will be accepted unless expressly agreed upon in writing.
4. Service Performance & Liability
4.1 Afitty will make reasonable efforts to provide high-quality services within the agreed timeframe. However, Afitty’s obligations are not an absolute guarantee of results but rather a commitment to professional diligence.
4.2 Afitty will not be held liable for any indirect, consequential, or incidental damages arising from the use of its services.
4.3 Afitty shall not be considered a third party in any legal claims made against the client by any third party, including end consumers.
5. Claims & Disputes
5.1 Any claim regarding Afitty’s services must be submitted in writing via registered mail within 8 days of service delivery.
5.2 Afitty will review claims in good faith but reserves the right to reject any claim deemed unjustified or submitted beyond the specified timeframe.
6. Governing Law & Jurisdiction
6.1 All agreements, transactions, and disputes related to Afitty’s services will be governed exclusively by the laws of Singapore.
6.2 Any disputes arising under these T&C shall be resolved through negotiations in good faith. If unresolved, the matter shall be submitted to the exclusive jurisdiction of the Singapore courts.
